Annual compliance for companies in Brazil: books, meetings, ECD and ECF, Central Bank declarations and beneficial owner updates

Last verified: 2026-10-27 · Status: Stable

Every Ltda. and S.A. keeps double entry books with an authenticated journal, approves its accounts at a meeting within four months of year end, and files the minutes (Ltda.: within 20 days). Federal tax bookkeeping follows: the digital accounting books (ECD) by the last business day of June and the tax bookkeeping return (ECF) by the last business day of July, with ECD lateness fined at 0.02 percent of gross revenue a day up to 1 percent. Foreign owned companies add Central Bank declarations of the foreign investment (quarterly, annual or five yearly depending on assets) and the yearly beneficial owner update by 31 December.

USD figures use the Banco Central do Brasil PTAX selling rate of R$5.5007 per US dollar for 26 October 2026, the latest rate published when this page was verified. Conversions are for orientation only; the rate on the day of each FX contract will differ.

The rule

1. Books and statements: business companies must keep a bookkeeping system based on uniform entries in their books, and draw up an annual balance sheet and income statement. The journal (Diário) is mandatory and may be kept electronically; mandatory books must be authenticated by the commercial registry before use; the balance sheet and income statement are entered in the journal and signed by a qualified accountant and the company. Books and papers must be kept until any limitation or forfeiture period for the acts recorded has run.
Cost to do it: Authenticating a book, including a digital book, at JUCESP costs R$73.00 in 2026 (about US$13.27), item 18 of the fee table.Lei nº 10.406 (Civil Code), Art. 1.179; art. 1.180; art. 1.181; art. 1.184 § 2; art. 1.194, 2002-01-10 official text · verified 2026-10-27
2. Ltda. annual meeting: within four months after year end the quotaholders approve the managers' accounts, the balance sheet and the income statement; the documents go to non managing quotaholders 30 days before, and a certified copy of the minutes is filed with the commercial registry within 20 days.
Cost to do it: R$273.55 per set of minutes in São Paulo (about US$49.73).Lei nº 10.406 (Civil Code), Art. 1.075 § 2; art. 1.078, 2002-01-10 official text · verified 2026-10-27
3. S.A. ordinary meeting: within four months after year end the shareholders approve the accounts and financial statements, allocate profit and dividends and elect managers when due; the management report, statements and any auditor and fiscal council opinions must be made available at least one month before. A closely held S.A. with annual gross revenue up to R$78,000,000 may publish electronically instead of in a newspaper.
Cost to do it: R$583.98 per set of minutes in São Paulo (about US$106.16).Lei nº 6.404 (Corporations Law), art. 294 as worded by Lei Complementar nº 182 of 1 June 2021, Art. 132; art. 133; art. 289; art. 294 item III, 2021-06-01 official text · verified 2026-10-27
4. Digital accounting books (ECD): legal entities required by commercial law to keep accounts must transmit the ECD to the public digital bookkeeping system (Sped) by the last business day of June of the year after the calendar year. Exceptions include Simples Nacional companies, inactive entities, and presumed profit companies that meet the condition of art. 45 sole paragraph of Lei nº 8.981 of 1995, unless they distribute profits free of withholding tax above the presumed tax base less taxes due.Instrução Normativa RFB nº 2.003 of 18 January 2021, art. 5 as worded by Instrução Normativa RFB nº 2.142 of 26 May 2023, Art. 3 § 1 items I, III and V and § 3; art. 5, 2023-05-26 official text · verified 2026-10-27 · changed: Instrução Normativa RFB nº 2.142 of 26 May 2023 moved the ECD deadline permanently to the last business day of June.
5. Penalties for late or wrong ECD: lateness is fined at 0.02 percent of gross revenue for the bookkeeping period per day of delay, capped at 1 percent; omissions or errors at 5 percent of the transaction value, capped at 1 percent of gross revenue; failure to meet format requirements at 0.5 percent of gross revenue. For Sped users the fines are halved if the obligation is met late but before any ex officio procedure, and cut to 75 percent if it is met within the period set in a notice.
Example: A company with R$50,000,000 of gross revenue files its ECD 20 days late: 0.02 percent times 20 days is 0.4 percent, a fine of R$200,000, below the 1 percent cap of R$500,000. / Fine about US$36,359; cap about US$90,898.Lei nº 8.218 of 29 August 1991, art. 12 as worded by Lei nº 13.670 of 2018; Instrução Normativa RFB nº 2.003 of 18 January 2021, Lei nº 8.218 art. 12 items I to III and sole paragraph; IN RFB nº 2.003 art. 11, 2021-01-18 official text · verified 2026-10-27
6. Tax bookkeeping return (ECF): all legal entities, including those treated as such, file the ECF centrally through the head office by the last business day of July of the following year, except Simples Nacional companies, public bodies and inactive entities. For actual profit (lucro real) companies the ECF is the actual profit ledger (LALUR). Late or incorrect filing is fined under Decreto-Lei nº 1.598 art. 8-A for actual profit companies and Lei nº 8.218 art. 12 for the others.Instrução Normativa RFB nº 2.004 of 18 January 2021, Art. 1 caput and §§ 1 and 2; art. 3; art. 6, 2021-01-18 official text · verified 2026-10-27
7. Central Bank periodic declarations by companies with foreign direct investment: a quarterly declaration is due from companies with total assets of R$300,000,000 or more on the quarterly base date (31 March, 30 June, 30 September), filed in the following quarter; an annual declaration from those with R$100,000,000 or more on 31 December of the prior year; and a five yearly declaration, for base years ending in 0 or 5, from those with R$100,000 or more. Annual and five yearly declarations are due from 1 January to 31 March of the following year, and there is no annual declaration in a five yearly year.
Example: A subsidiary with R$150,000,000 of total assets at 31 December 2026 files an annual declaration between 1 January and 31 March 2027; with R$50,000,000 it files nothing until the five yearly declaration for base year 2030. / R$150,000,000 is about US$27.27 million; the R$100,000,000 threshold is about US$18.18 million.Resolução BCB nº 278 of 31 December 2022, Art. 37; art. 38; art. 39; art. 40 and sole paragraph; art. 41, 2022-12-31 official text · verified 2026-10-27

Yearly calendar for a foreign owned company with a calendar fiscal year (legal deadlines; set dates in the year concerned)

Worked example

  • A foreign owned Ltda. in São Paulo with R$120,000,000 of total assets (about US$21.82 million) and R$50,000,000 of revenue closes its books on 31 December 2026.
  • It files the 2026 annual SCE-IED declaration by 31 March 2027, holds the quotaholders' meeting by 30 April 2027, files the minutes within 20 days (R$273.55, about US$49.73), transmits the ECD by the last business day of June and the ECF by the last business day of July 2027, and confirms its e-BEF by 31 December 2027.
  • Had it filed the ECD 20 days late, the fine would have been 0.4 percent of revenue, R$200,000 (about US$36,359), halved to R$100,000 if filed before any tax audit began (Lei nº 8.218 art. 12).

Step by step

  1. 1. At incorporation, appoint a qualified Brazilian accountant, who signs the balance sheet and income statement with the company (Civil Code art. 1.184 § 2).
  2. 2. Authenticate the mandatory books before use (Civil Code art. 1.181); JUCESP charges R$73.00 per book, paper or digital.
  3. 3. Each January, check total assets against the Central Bank thresholds and file any annual or five yearly SCE-IED declaration by 31 March.
  4. 4. Hold the annual meeting by the end of April; file minutes and, for an S.A., make the publications.
  5. 5. Transmit the ECD by the last business day of June and the ECF by the last business day of July.
  6. 6. Report non FX foreign investment movements and beneficial owner changes within 30 days; confirm the e-BEF by year end.

Common traps

  • Treating the ECD and ECF deadlines as fixed calendar dates: both run to the last business day of the month (IN RFB nº 2.003 art. 5; IN RFB nº 2.004 art. 3).
  • Underestimating ECD fines: they are a share of gross revenue, up to 1 percent per failure (Lei nº 8.218 art. 12), not a flat amount.
  • Paying dividends abroad in reais in Brazil or offsetting them without an FX contract and forgetting the 30 day SCE-IED report (Resolução BCB nº 278 art. 36).
  • Assuming a small subsidiary has no Central Bank filing: the five yearly declaration catches any company with total assets of R$100,000 or more (art. 40).
  • Missing the year end e-BEF confirmation, which can lead to suspension of the CNPJ and blocked bank accounts (IN RFB nº 2.119 arts. 55-A and 56).
  • Unauthenticated books: mandatory books must be authenticated before use (Civil Code art. 1.181).
