Foreign ownership and leasing of rural land in Brazil: module limits, INCRA authorization, municipal caps and the pending reform bill
Last verified: 2026-10-27 · Status: Changing
Brazil's Constitution lets Congress limit foreign acquisition and leasing of rural land, and Lei nº 5.709 of 1971 does so: foreign individuals resident in Brazil, foreign companies authorized to operate here and Brazilian companies majority held from abroad face area caps, INCRA authorization or ministry project approval, and municipal ceilings. The same limits apply to rural leases, and acquisitions beyond the limits, or by a foreign company of more than 100 modules, need Congress. A bill to rewrite the regime (PL nº 2.963/2019) has been waiting in the Chamber of Deputies since 2024, so today the 1971 rules still govern every deal.

| Foreign company or Brazilian company majority held from abroad | Any area | Project tied to corporate purpose approved by the Ministry of Agriculture |

Approval path by buyer and area (Lei nº 5.709 arts. 1, 3, 5 and 12; Decreto nº 74.965 arts. 7 and 11; Lei nº 8.629 art. 23).
Worked example
- Farm purchase through a Brazilian subsidiary. A US parent owns 100 percent of a Brazilian Ltda. that wants to buy a farm for soybean production. Because the majority of its capital is held from abroad, the Ltda. is treated as foreign (Lei nº 5.709 art. 1 § 1) and needs an agricultural project approved by the Ministry of Agriculture (Decreto nº 74.965 art. 11) and a registry certificate showing that foreign holdings in the municipality stay within one quarter of its area (Lei nº 5.709 art. 12). If the farm exceeded 100 MEI, Congress would have to authorize it (Lei nº 8.629 art. 23 § 2).
- Leasing instead of buying does not avoid the rules. The same Ltda. signing a 10 year farm lease faces the same limits and approvals as a purchase (Lei nº 8.629 art. 23 § 1).
Step by step
- 1. Map the buyer's ownership chain: any majority held from abroad makes a Brazilian company foreign for this purpose.
- 2. Find the MEI size for the municipality and convert the farm area into modules.
- 3. Ask the registry for the certificate of rural area already held by foreigners in the municipality, by nationality.
- 4. Check whether the land is in the 150 km border zone or another national security area, which needs prior assent (Lei nº 5.709 art. 7; Lei nº 6.634).
- 5. File for INCRA authorization (individuals) or project approval (companies); sign the deed within 30 days of an individual's authorization and register within 15 days (Decreto nº 74.965 art. 10).
- 6. Track PL nº 2.963/2019, which could change the regime.
Common traps
- Treating a Brazilian subsidiary as local. Majority foreign capital makes it foreign (Lei nº 5.709 art. 1 § 1), and a breach makes the purchase null (art. 15).
- Using a lease as a workaround. Leases carry the same limits (Lei nº 8.629 art. 23 § 1).
- Buying several small plots. More than one property, even each under 3 MEI, needs authorization (Decreto nº 74.965 art. 7 § 3).
- Assuming the reform has passed. PL nº 2.963/2019 is still in the Chamber of Deputies.
