Brazil is a federal republic of 214 million people with a single national body of company, labor and FX law but three layers of taxing power: the Union, the states and the Federal District, and the municipalities. The economy produced about R$13.19 trillion in the four quarters to mid 2026, under an autonomous Central Bank holding the Selic at 13.75 percent against a 3 percent inflation target. Foreign capital gets the same legal treatment as domestic capital and FX moves without amount limits, so the real work is registration, tax and labor compliance.

USD figures use the Banco Central do Brasil PTAX selling rate of R$5.3346 per US dollar for 27 October 2026, the rate published on the day this page was verified. Conversions are for orientation only; the rate on the day of each FX contract will differ.

The rule

1. Brazil is a federation formed by the indissoluble union of states, municipalities and the Federal District. The Union, the states, the Federal District and the municipalities are all autonomous, and Brasília is the federal capital. Free enterprise (livre iniciativa) is one of the founding principles of the Republic.
Cost to do it: No cost; the practical consequence is that a company usually registers with three levels of government: federal (CNPJ), state (for ICMS, if it sells goods) and municipal (for ISS and operating permits).Constituição Federal of 5 October 1988, Art. 1, caput and item IV; art. 18, caput and § 1, 1988-10-05 official text · verified 2026-10-27
2. Portuguese is the official language. Contracts, filings and court documents are handled in Portuguese, so foreign documents need a sworn translation in practice.Constituição Federal, Art. 13, caput, 1988-10-05 official text · verified 2026-10-27
3. Only the Union may legislate on civil, commercial and labor law, on credit, FX, insurance and transfer of funds, and on foreign and interstate trade. Company law, the labor code and the FX framework are therefore national; a subsidiary in São Paulo and one in Recife live under the same corporate and employment statutes.Constituição Federal, Art. 22, items I, VII and VIII, 1988-10-05 official text · verified 2026-10-27
4. Taxing power is split three ways. The Union levies import and export duties, income tax, IPI on manufactured goods, IOF on credit, FX, insurance and securities, and rural land tax; the 2023 reform added a selective tax on goods harmful to health or the environment. States levy ICMS on goods and some services, and municipalities levy ISS on services. The reform created a dual VAT: IBS (states and municipalities) and CBS (federal), phased in from 2026.Constituição Federal, as amended by Emenda Constitucional nº 132 of 20 December 2023, Art. 153 items I to VIII; art. 155 item II; art. 156 item III; art. 156-A; art. 195 item V, 2023-12-20 official text · verified 2026-10-27 · changed: Emenda Constitucional nº 132 of 20 December 2023 added IBS (art. 156-A), CBS (art. 195 V) and the selective tax (art. 153 VIII); ICMS and ISS are extinguished from 2033 (ADCT art. 129).
5. The Central Bank's fundamental objective is price stability; it also seeks financial stability, smoother economic cycles and full employment. The National Monetary Council sets the inflation targets and the Central Bank alone conducts monetary policy to meet them. The Governor and directors serve fixed four year terms, the Governor's starting on 1 January of the third year of the President's term.Lei Complementar nº 179 of 24 February 2021, Art. 1, art. 2 and art. 4 § 1, 2021-02-24 official text · verified 2026-10-27
6. The inflation target is continuous: 3.00 percent for twelve month IPCA inflation, measured month by month from 1 January 2025, with a tolerance band of 1.50 percentage points either way.Resolução CMN nº 5.141 of 26 June 2024, under Decreto nº 12.079 of 26 June 2024, Art. 1 and art. 2, 2024-06-26 official text · verified 2026-10-27
7. FX transactions are free with no limit on amount, and the rate is freely agreed between the parties. Foreign capital receives legal treatment identical to national capital under equal conditions. Money must enter and leave Brazil through an institution authorized to operate in the FX market; carrying cash is exempt only up to US$10,000 or equivalent.
Cost to do it: The FX law sets no government fee for an FX contract; banks charge a spread and IOF applies at the rates in the FX section.
Example: A R$1,000,000 capital injection is converted at the rate the parties agree with the bank on the day of the FX contract. / At the PTAX reference rate of R$5.3346, R$1,000,000 is about US$187,455.Lei nº 14.286 of 29 December 2021, Art. 2; art. 9; art. 14, caput and § 1 item I, 2021-12-29 official text · verified 2026-10-27
8. Anyone may carry on a low risk economic activity, using their own property or third party property with consent, without any prior public act of release such as a license or permit. Higher risk activities still need licenses.Lei nº 13.874 of 20 September 2019 (Economic Freedom Law), Art. 3, item I, 2019-09-20 official text · verified 2026-10-27
9. Brazil is a founding member of Mercosur with Argentina, Paraguay and Uruguay, a common market involving free movement of goods, services and factors of production and a common external tariff. Trade with Argentina therefore runs under Mercosur rules; see the Argentine guide for the other side.Decreto nº 350 of 21 November 1991 (promulgates the Treaty of Asunción), Treaty art. 1, 1991-11-21 official text · verified 2026-10-27
10. The national minimum wage is R$1,621.00 a month from 1 January 2026, or R$54.04 a day and R$7.37 an hour. Collective agreements and some states set higher floors.
Cost to do it: Base pay of R$1,621.00 a month (about US$303.87) before employer charges.
Example: Twelve months plus the 13th salary at the minimum wage is 13 x R$1,621.00 = R$21,073.00 a year before vacation bonus and charges. / R$21,073.00 is about US$3,950.Decreto nº 12.797 of 23 December 2025, Art. 1, caput and sole paragraph, 2025-12-23 official text · verified 2026-10-27

Worked example

  • Scale check: Brazil's four quarter GDP of R$13,190,205 million is about US$2,472,576 million (about US$2.47 trillion) at the 27 October 2026 PTAX rate. Annual aggregates converted at one spot rate differ from figures published in dollars.
  • Real return check: a one year deposit paying the Selic of 13.75 percent against twelve month inflation of 4.58 percent gives an ex post real rate of about 8.8 percent (1.1375 / 1.0458 minus 1). This is arithmetic on official figures, not a forecast.

Step by step

  1. 1. Read the start here page for the four legal gateways (CNPJ, resident representative, beneficial owner disclosure, Central Bank reporting).
  2. 2. Decide where you will sell: goods bring state ICMS registration, services bring municipal ISS registration, and both bring federal PIS, COFINS and, from 2026, the CBS and IBS test rates.
  3. 3. Price in the cost of money: with the Selic at 13.75 percent, local debt is expensive; most foreign groups fund subsidiaries with equity or intercompany loans (see the FX section).
  4. 4. Budget payroll from the R$1,621.00 floor upward and add employer charges (see the labor section).
  5. 5. Track the reform calendar on the latest changes page: VAT transition 2026 to 2033, the 10 percent dividend withholding from 2026 and the cut to a 40 hour week by December 2027.

Common traps

  • Treating Brazil as one tax jurisdiction. Company and labor law are national, but ICMS rules differ by state and ISS by municipality (Constituição Federal arts. 155 and 156).
  • Reading a strong headline rate as a forecast. Selic and IPCA figures here are the latest official prints, not projections.
  • Assuming a license is always needed, or never. Low risk activities need no prior public act (Lei nº 13.874 art. 3 I); higher risk activities and regulated sectors do.
  • Moving cash in person. Anything above US$10,000 must go through an authorized FX institution (Lei nº 14.286 art. 14).
