Empresa individual de responsabilidad limitada (EIRL) in Chile: single individual owner, ring fenced assets and the cases of unlimited liability
Last verified: 2026-10-26 · Status: Stable
An EIRL lets one individual run a business through a separate legal person whose assets are ring fenced from the owner's own. Only a natural person can own it, so a foreign company cannot use it, and the owner loses limited liability in defined cases such as acts outside the business purpose or withdrawals that are not real profits. It is formed by public deed or online for free, and for tax and other matters it follows the rules of the Ltda.

EIRL versus one shareholder SpA
Worked example
- A Chilean resident freelance designer forms an EIRL online with capital of CLP 5,000,000 (about US$5,141). Registry fee CLP 0 (Ley Nº 20.659 art. 11).
- When a foreign client wants to invest, the EIRL transforms into an SpA, following the SpA formalities (Ley Nº 19.857 art. 14), because an EIRL cannot have a second owner.
Step by step
- 1. Confirm the owner is an individual and decide the capital and the specific business, since acts outside it remove limited liability (art. 4 and art. 12).
- 2. Sign online or by public deed; on the traditional route register and publish within 60 days (art. 5).
- 3. Protocolize any contract between the owner and the EIRL and note it within 60 days (art. 10).
- 4. File start of activities, including the relevant assets the owner brings into the business (Código Tributario art. 68).
Common traps
- A foreign company cannot own an EIRL (art. 1).
- Acting outside the stated business or without the EIRL's name exposes the owner personally (art. 12).
- Withdrawals not backed by net realizable profits remove the shield (art. 12 letter d).
- Unwritten owner to EIRL contracts have no value (art. 10).
