Most foreign investors in Panama use a sociedad anónima under Ley 32 de 1927: two founders of any nationality, no minimum capital, three directors who need not be residents or shareholders, and a B/.300 annual tasa única. A sociedad de responsabilidad limitada suits joint ventures that want partner consent over new members, a branch lets a foreign company operate directly once its documents are registered, and a private interest foundation is an ownerless holding and succession vehicle that cannot trade. The sociedad de emprendimiento is limited to resident individuals. Every vehicle needs a Panamanian lawyer or law firm as resident agent, beneficial owner registration and an Aviso de Operación before trading.

Panama's official currency, the balboa (B/.), is at par with the US dollar, which circulates as paper money; the Superintendencia de Bancos states that the balboa's value is on a par with the US dollar (checked 29 October 2026). USD figures therefore equal the balboa figures.

Main vehicles for a foreign investor in Panama, from the governing texts.

Worked example

  • A Peruvian food group opening a distribution business in Panama chooses a sociedad anónima: the parent and an affiliate subscribe, it names three directors from the group, authorized capital is US$50,000 (B/.50,000) and nothing needs to be paid at formation under Ley 32 art. 21. Registration takes 1 to 2 weeks and costs registry fees plus B/.300 (US$300) of tasa única; then the company files its Aviso de Operación before selling (Ley 5 de 2007 art. 3).
  • Had it wanted to bid directly with its Peruvian track record, it could instead register a branch, but it would carry the branch's liabilities on its own balance sheet and would have to file every later amendment of its Peruvian bylaws in Panama (Ley 32 art. 92).
  • For Argentine shareholders, the Argentine side of tax and FX questions on holding a Panamanian entity is covered in The Argentine Thread guide.

Step by step

  1. 1. Decide whether the vehicle will trade in Panama, hold foreign assets or both; foundations cannot trade habitually (Ley 25 art. 3) and a sociedad de emprendimiento is closed to foreign companies (Ley 186 art. 5).
  2. 2. Pick a structure: an S.A. for flexibility and transferable shares, an S. de R.L. where partners want a veto on newcomers (Ley 4 art. 26), or a branch where the parent's own balance sheet matters.
  3. 3. Engage a Panamanian lawyer or law firm as resident agent and prepare beneficial owner information (Ley 129 art. 2 and 11).
  4. 4. Sign the incorporation document, protocolize and register it at the Registro Público with the first tasa única; allow 1 to 2 weeks.
  5. 5. File the Aviso de Operación through PanamaEmprende before starting activity, and set up the annual calendar: tasa única, books, records to the agent and beneficial owner updates (see Annual compliance).

Common traps

  • Choosing a foundation to run a business. It cannot pursue profit and may trade only non habitually (Ley 25 art. 3).
  • Planning a sociedad de emprendimiento with a foreign parent or non resident founders; only permanent resident individuals qualify (Ley 186 art. 5).
  • Operating through an unregistered foreign company: no standing to sue in Panama and a fine of up to B/.5,000 (Ley 32 art. 91).
  • Forgetting that a Panamanian entity can be suspended and dissolved for unpaid tasa única, lack of a resident agent or beneficial ownership failures (Código Fiscal art. 318-A).
