Sociedad por acciones cerrada simplificada (S.A.C.S.) in Peru: online company for individual founders

Last verified: 2026-10-28 · Status: Stable

The S.A.C.S. is a simplified company created in 2018 for micro, small and medium businesses: two to twenty individuals form it by a private document signed digitally on SID-SUNARP, with no public deed and no notary. Capital must be fully subscribed and paid, only in cash or non registrable movable assets, and shares can only ever be sold to individuals. Because companies cannot be shareholders, a foreign parent cannot own an S.A.C.S. directly; it fits founder led start ups whose owners hold a Peruvian electronic ID or another accredited digital certificate.

The rule

1. Purpose and nature. Decreto Legislativo Nº 1409 creates an alternative limited liability company regime to formalise and grow micro, small and medium enterprises. The S.A.C.S. is formed by private agreement of two to twenty individuals (personas naturales), who are liable up to their contributions except for labour fraud against third parties and without prejudice to tax law. It acquires its own legal personality on registration in SUNARP's Registry of Legal Persons.Decreto Legislativo Nº 1409, Art. 1, art. 2, art. 4 and art. 5, 2018-09-12 official text · verified 2026-10-28
2. Constitutive document. The S.A.C.S. is formed by a private document stating at least: founders' names, ID and domicile; a name including "Sociedad por Acciones Cerrada Simplificada" or S.A.C.S.; domicile and branches; duration (indefinite if silent); purpose; capital subscribed and fully paid, with number and par value of shares; each shareholder's contributions, which may only be cash or non registrable movable assets; the first managers and their powers; and a sworn statement on the accuracy of the information and the lawful origin of the funds.
Cost to do it: Capital must be paid in full at formation (100 percent), not 25 percent as in an S.A.C.Decreto Legislativo Nº 1409, Art. 6, 2018-09-12 official text · verified 2026-10-28
3. Digital signature and registration. The constitutive document is generated on SID-SUNARP and signed with the founders' digital signatures; that electronic document is sufficient title for registration, and the application, fee payment, observations and registration are all handled through SID-SUNARP. Founders are jointly liable for damages caused by inaccurate or false information. After registration, SUNARP sends the list of founders and the capital contributed to the Financial Intelligence Unit (UIF). Later corporate acts follow the general companies law and SUNARP rules.Decreto Legislativo Nº 1409, Art. 7, art. 8, art. 9, art. 10, art. 11 and art. 12, 2018-09-12 official text · verified 2026-10-28
4. Meetings, transfers and conversion. The general manager calls meetings at least three days ahead by letter, email or other means with proof of receipt, and no notice is needed if all shareholders attend and agree the agenda. A shareholder who wants to sell must notify the company; the general manager informs the others within three business days and they have seven business days to exercise first refusal pro rata. If they do not, shares may only be transferred to an individual, otherwise the transfer is ineffective. Shareholders may convert the S.A.C.S. into another corporate form at any time.Decreto Legislativo Nº 1409, Art. 13, art. 14 and art. 15, 2018-09-12 official text · verified 2026-10-28
5. How SUNARP runs it. On SID-SUNARP the founders choose the module for formation without a notary, validate the name and enter domicile, duration, purpose, capital and shareholders. All shareholders, directors and the general manager sign digitally and pay the fees; after qualification SUNARP sends the registration entry and the company's RUC by email. A Peruvian electronic ID (DNI electrónico) with card reader, or another digital certificate from an accredited entity, is required.SUNARP service sheet on gob.pe (Constituir tu empresa como S.A.C.S.), Requisitos and Antes de iniciar, 2022-09-16 official text · verified 2026-10-28

S.A.C.S. versus S.A.C.

Worked example

  • Two Peruvian resident software developers, one Peruvian and one foreign resident holding a carné de extranjería and an accredited digital certificate, form Código Andino S.A.C.S. online with S/ 10,000 fully paid in cash. When a US fund later wants to invest through its holding company, the shareholders first convert the company into an S.A.C., because an S.A.C.S. cannot have corporate shareholders and its shares can only be transferred to individuals.

Step by step

  1. Confirm every founder is an individual with a digital certificate accepted by SID-SUNARP.
  2. Create SID-SUNARP accounts, choose the S.A.C.S. module and validate the name.
  3. Enter the company data and contributions (cash or non registrable movables only) and sign digitally, including directors and the general manager.
  4. Pay the fees online; SUNARP qualifies the filing and emails the registration entry and RUC.
  5. Activate the RUC with SUNAT and plan the conversion to an S.A.C. before bringing in corporate investors.

Common traps

  • A foreign or Peruvian company cannot be a shareholder, and any share transfer to a non individual is ineffective.
  • Capital must be fully paid at formation and real estate or registrable assets cannot be contributed.
  • Founders are jointly liable for false or inaccurate data in the constitutive document, and SUNARP reports founders and capital to the UIF.
  • Foreign founders without a Peruvian electronic ID need another accredited digital certificate to sign.
