Residence for directors and managers of foreign invested companies

Last verified: 2026-10-27 · Status: Stable

A foreign group that invests in a Brazilian company can bring in an administrator, director, manager or executive with management powers on residence of indefinite term. Each executive must be backed by foreign direct investment of at least R$600,000, or R$150,000 plus at least 10 new jobs within 2 years. The appointment must be in registered minutes or articles, and banks, insurers and airlines also need the regulator's approval of the appointee.

USD figures use the Banco Central do Brasil PTAX selling rate of R$5.3346 per US dollar for 27 October 2026. The rate moved sharply in late October 2026 (R$5.0377 on 23 October, R$5.5007 on 26 October), so treat conversions as orientation only.

The rule

1. Residence for investment may be granted to an immigrant administrator, manager, director or executive with management powers who represents a company, group or conglomerate making foreign investment in a company established in Brazil with potential to create jobs or income. It depends on holding the position appointed in minutes or a contract registered with the competent body.Resolução Normativa CNIg nº 11 of 1 December 2017 (DOU of 8 December 2017), as amended by Resolução CNIG/MJSP nº 49 of 25 June 2024; Decreto nº 9.199 arts. 43 and 151 § 2, RN nº 11 art. 1 and § 1, 2024-06-25 official text · verified 2026-10-27
2. Proof of investment per executive appointed: foreign direct investment of at least R$600,000 shown by an exchange contract from a Banco Central authorized institution classified as foreign direct investment; or at least R$150,000 plus the creation of at least 10 new jobs in the 2 years after the company's setup or the executive's arrival. Investment through a private equity fund (FIP) by a non resident entity is proven by the investor's appointment act, the subscription bulletin and exchange contract, and the bank transfer paid into the Brazilian company. The financial statements for the fiscal year under Lei nº 6.404 may replace the exchange contract if the investment complies with Lei nº 4.131, Lei nº 11.371 and the Banco Central rules.
Cost to do it: R$600,000 per executive (about US$112,473.29), or R$150,000 (about US$28,118.32) plus 10 jobs; fees R$168.13 and R$204.77 per person.
Example: R$600,000 per executive, or R$150,000 plus 10 new jobs. / About US$112,473.29, or about US$28,118.32 plus 10 jobs.Resolução Normativa CNIg nº 11, art. 2 as worded by Resolução CNIG/MJSP nº 49 of 25 June 2024, RN nº 11 art. 2, I to IV and sole paragraph, 2024-06-25 official text · verified 2026-10-27 · changed: Resolução CNIG/MJSP nº 49 of 25 June 2024 restated the per executive investment thresholds, added the FIP route and aligned proof with the new FX law.
3. For insurers, capitalization companies and open pension entities, SUSEP must approve the appointee to statutory bodies; for financial institutions authorized by the Banco Central, the Banco Central must issue a letter of consent; for foreign airlines, a public power of attorney and ANAC's approval of the representative are required.Resolução Normativa CNIg nº 11 of 1 December 2017, RN nº 11 art. 1 §§ 2, 3 and 4, 2017-12-01 official text · verified 2026-10-27
4. The company must tell the Ministry of Justice when the executive leaves, and new authorizations depend on doing so. Moving to a company outside the conglomerate needs Ministry authorization; taking new statutory roles, or concurrent roles in group companies, needs prior Ministry consent with the group link, articles, appointment and consent letters.Resolução Normativa CNIg nº 11, arts. 3 and 4 as worded by Resolução CNIG/MJSP nº 49 of 25 June 2024, RN nº 11 arts. 3 and 4, 2024-06-25 official text · verified 2026-10-27
5. The residence is of indefinite term; where the R$150,000 route was used, continuation depends on proving to the Ministry that the new jobs were created. An executive already in Brazil may apply in country with the same documents.Resolução Normativa CNIg nº 11, arts. 6 and 7 as worded by Resolução CNIG/MJSP nº 49 of 25 June 2024, RN nº 11 arts. 6 and 7 and sole paragraph, 2024-06-25 official text · verified 2026-10-27

Worked example

  • A US parent wants to send a CEO and a CFO to its Brazilian subsidiary. Under the main route it must show R$1,200,000 of foreign direct investment (2 x R$600,000, about US$224,946.58). Under the alternative route R$300,000 (about US$56,236.64) is enough if the subsidiary also creates at least 10 new jobs within 2 years, which must later be proven to keep the residence; the text does not say whether the 10 jobs apply per executive, so confirm with the Ministry before relying on one set of hires for both. Government fees for both: 2 x R$372.90 = R$745.80 (about US$139.80).

Step by step

  1. 1. Confirm the foreign investment already made or planned and match it to the number of executives.
  2. 2. Register the appointment in the board minutes or articles at the commercial registry.
  3. 3. For regulated sectors, obtain SUSEP, Banco Central or ANAC approval first.
  4. 4. Pay the processing fee and file on MigranteWeb with exchange contracts (or financial statements) and the general documents.
  5. 5. After approval and entry, register with the Federal Police within 90 days; report any departure and seek consent before adding group roles.

Common traps

  • Using RN 3 for managers. Managerial functions are excluded from technical assistance residence (RN 3 art. 1 sole paragraph).
  • Counting the same investment twice. The threshold applies per executive called (RN 11 art. 2, I and II).
  • Jobs promised but not created. On the R$150,000 route, residence continues only if the 10 jobs are proven (RN 11 art. 7 sole paragraph).
  • Forgetting to report a departure. New authorizations for the company are blocked until the exit is reported (RN 11 art. 3).
