Transformation, mergers and spin offs of Dominican companies: keeping the legal person, creditor rights and the Registro Mercantil

Last verified: 2026-10-30 · Status: Stable

A company can change type without dissolving, and it keeps its legal personality and contracts. Transformation needs a special balance sheet, a meeting and registration within 30 days, and dissenting partners can leave. Mergers and spin offs need a joint plan filed and published within 30 days, and creditors have 30 days to object. Companies in the securities market need regulator approval.

USD figures use the Banco Central de la República Dominicana spot reference selling rate of RD$60.9007 per US dollar for 29 October 2026, rounded to the cent.

The rule

1. Transformation means adopting another company type; the company is not dissolved and keeps its legal personality, rights and obligations (art. 440). Stakes may not change (art. 441), and earlier unlimited liability continues unless creditors agree (art. 442).Ley 479-08, General de las Sociedades Comerciales y Empresas Individuales de Responsabilidad Limitada, as amended by Ley 31-11, art. 440 to art. 442, 2011-02-08 official text · verified 2026-10-30
2. It requires a special balance sheet and a comisario report if there is one, who must confirm net assets are at least equal to subscribed and paid capital. An extraordinary meeting decides by more than half of capital (art. 443). An extract is published in a national newspaper 15 days earlier (art. 445). The deed is registered and contains what the new type requires (art. 444). If not registered within 30 days the resolution may be revoked (art. 446).Ley 479-08, General de las Sociedades Comerciales y Empresas Individuales de Responsabilidad Limitada, as amended by Ley 31-11, art. 443 to art. 446, 2011-02-08 official text · verified 2026-10-30
3. The resolution binds only those voting for it. Those against or absent are separated unless they adhere in writing within 15 days, and are repaid at the agreed or expert value (art. 448).Ley 479-08, General de las Sociedades Comerciales y Empresas Individuales de Responsabilidad Limitada, as amended by Ley 31-11, art. 448, 2011-02-08 official text · verified 2026-10-30
4. Between one S.A.S. transformation and another at least a year must pass (art. 369-9). An S.R.L. or S.A. may move to an S.A.S. subject to any sector law (art. 369-9 and art. 447).Ley 479-08, General de las Sociedades Comerciales y Empresas Individuales de Responsabilidad Limitada, as amended by Ley 31-11, art. 369-9 and art. 447, 2011-02-08 official text · verified 2026-10-30
5. By merger one or more companies transfer their assets to an existing or new company; by spin off a company transfers them to one or more companies. Partners receive shares, with cash up to one tenth of the par value of the shares allotted (art. 382). Merged companies dissolve without liquidation (art. 384). The operation takes effect on registration of the new company, or at the last approving meeting unless the contract sets another permitted date (art. 385).Ley 479-08, General de las Sociedades Comerciales y Empresas Individuales de Responsabilidad Limitada, as amended by Ley 31-11, art. 382, art. 384 and art. 385, 2011-02-08 official text · verified 2026-10-30
6. The companies agree a plan, file it at the Registro Mercantil within 30 days and publish an extract in a national newspaper in the same period (art. 386). Securities market companies also file with the regulator, which has 15 days to decide (art. 386). In an S.A. each extraordinary meeting decides, on a written board report (art. 389).Ley 479-08, General de las Sociedades Comerciales y Empresas Individuales de Responsabilidad Limitada, as amended by Ley 31-11, art. 386 and art. 389, 2011-02-08 official text · verified 2026-10-30
7. The absorbing company replaces the absorbed company as debtor without novation. Creditors predating publication have 30 days to object before the interim relief judge, who may reject it or order payment or guarantees. Failing that, the merger is not enforceable against that creditor, and an objection does not stop the process (art. 395).Ley 479-08, General de las Sociedades Comerciales y Empresas Individuales de Responsabilidad Limitada, as amended by Ley 31-11, art. 395, 2011-02-08 official text · verified 2026-10-30
8. Santo Domingo charges the formation fee for the new form plus RD$500 per document for registration with transformation, and the modification fee for ordinary changes; capital increases are charged on the band difference.
Cost to do it: RD$500 (about US$8.21) per document on top of the fee for the band.Cámara de Comercio y Producción de Santo Domingo, fee schedule, Servicios especiales and Observación, 2022-12-01 official text · verified 2026-10-30

Worked example

  • A two partner S.R.L. becomes an S.A.S. for an investor round. Capital must reach RD$3,000,000 authorized with 10% paid. It prepares a special balance sheet, publishes an extract 15 days ahead, votes by more than half of capital, and registers within 30 days. A partner against the move has 15 days to adhere or leave at the agreed or expert price.

Step by step

  1. Check sector licences and contracts first.
  2. Prepare the balance sheet and comisario report if any.
  3. Publish, hold the meeting and register.
  4. Update the RNC with DGII.
  5. For mergers, plan for the 30 day creditor window.

Common traps

  • Budget cash for a dissenter buyout (art. 448).
  • A transformation does not release earlier unlimited liability (art. 442).
  • Tax treatment of a merger is a separate question; review it before signing.
  • Capital must meet the new type's minimum before an S.R.L. can become an S.A.S. or S.A.
