Dissolving and liquidating an S.R.L., S.A. or S.A.S.
Last verified: 2026-10-30 · Status: Stable
An extraordinary meeting dissolves the company and names a liquidator, and from that day the name carries the words Sociedad en Liquidación.
The liquidator publishes within a month, sells the assets, pays creditors and returns what is left to the owners, with a mandate of up to three years.
In Santo Domingo the chamber charges RD$5,000 plus RD$500 per document to record a liquidation, including pending renewals.
USD figures use the Banco Central de la República Dominicana reference selling rate of RD$60.9007 per US dollar for 29 October 2026, the latest row in its published rate file on the verification date, rounded to the cent.
Key facts
The rule
1. An S.R.L. can be dissolved by expiry of its term, by an extraordinary meeting with the majority needed to change the statutes, by end or impossibility of its object, by three straight years without activity, by losses taking book equity below half of capital unless capital is raised or cut enough, or by a cause in the statutes.

An S.A. can be dissolved by an extraordinary meeting attended by at least two thirds of subscribed and paid voting capital, by expiry of term, by manifest impossibility of its object, by losses taking equity below half of subscribed and paid capital unless capital is cut or raised, by falling below minimum capital, by total merger or spin off, by having fewer than two shareholders for a year, or by a cause in the statutes.

An S.A.S. dissolves on the same terms as an S.A. and liquidates under arts. 408 to 439. It may also be dissolved after two straight fiscal years of disuse, and any interested party can sue for that. Holding shares, holding real estate rights or practising a profession does not count as disuse.

If losses take equity below half of capital, an S.R.L.'s partners must decide on dissolution within four months after approving those accounts. By the end of the second following year it must cut capital by the losses that reserves do not cover, or dissolve if equity has not recovered to half of capital. An S.A. board has the same four months to call the meeting and the same second year rule. A court can give up to six months to cure.

- A dormant S.R.L. with five documents to record in Santo Domingo pays RD$5,000 (about US$82.10) plus 5 times RD$500, so RD$7,500 (about US$123.15), plus RD$250 (about US$4.11) of Colegio de Abogados contributions. Newspaper notices and professional fees are extra and are set by the market.
Step by step
- Week 1: board or manager proposal and notice of the extraordinary meeting.
- Meeting: approve dissolution, name the liquidator, end the administrators' mandate.
- Within a month: file at the Registro Mercantil and publish the extract.
- Prepare the opening inventory and balance sheet, then collect claims and sell assets.
- Pay staff and creditors, then taxes, and file the final return.
- Final meeting: approve accounts and discharge, file them, publish the closure notice.
- Close at DGII and TSS, then report to the investment registry.
Common traps
- A company with no activity for three years (S.R.L.) or two fiscal years (S.A.S.) can be dissolved at the suit of others, so an unused company is not safely parked.
- The chamber treats the guarantee letter as optional, but DGII requires a guarantee for its own closure. See the DGII page.
- If only some partners want to leave, a share sale or capital reduction will usually be cheaper than a full liquidation.
- Ley 68-19 changed only art. 91 of Ley 479-08, so the DGII compilation used here still shows the current dissolution text, but its art. 91 is stale.
