Rural leases in Uruguay: written and registered contracts, free terms up to 30 or 45 years and rent withholding
Last verified: 2026-10-27 · Status: Stable
Leasing farmland in Uruguay is common for foreign agribusiness: any contract for use of rural land against money or produce is a rural lease that must be written, on pain of nullity, and registered (Decreto Ley Nº 14.384 art. 2 and 4). Terms are free up to 30 years, or 45 for forestry, fruit trees, dams and irrigation (Código Civil art. 1782), with a four year minimum for dairy, and rent can be in dollars (Ley Nº 16.223). Landlords who hand over land without a written contract or sell without registering the lease face fines of one to two years' rent; IRAE tenants withhold 10.5 percent of rent paid to resident individuals.

Rural lease rules (Decreto Ley Nº 14.384, Ley Nº 16.223, Código Civil art. 1782)
Worked example
- A foreign agricultural company leases 2,000 hectares for soy for six years at a dollar rent per hectare, in writing, and registers the lease so that a later sale of the farm cannot defeat it.
Step by step
- Draft the lease in writing and register it promptly.
- Check MGAP soil and land use rules (Ley Nº 16.223 art. 6) that become contract conditions.
- Set rent currency and adjustment explicitly.
- If the tenant is an IRAE company, apply the 10.5 percent withholding to resident landlords.
Common traps
- Oral rural leases are void and expose the landlord to fines.
- Unregistered leases do not bind buyers.
- Breach of MGAP soil conservation rules certified by the ministry is a ground to rescind.
